These Terms of Use (“Terms”) form a binding agreement between LOGICLABS COMPANY LIMITED (“Company,” “we,” “us,” or “our”) and you (“you” or “user”) governing your access to and use of our services, including our mobile applications and any related websites, content, and features (collectively, the “Services”). By accessing or using the Services, you confirm that you have read, understood, and agree to be bound by these Terms. If you do not agree, do not use the Services.
1. Updates to These Terms
We may update these Terms from time to time. Material changes will be posted within the Services (or otherwise notified to you) and become effective when posted unless stated otherwise. Your continued use of the Services after changes become effective constitutes acceptance of the updated Terms. We may also push app updates to improve performance, functionality, compatibility, or security. If you do not install required updates, parts of the Services may not function properly.
2. Eligibility and Your Responsibilities
You must use the Services in compliance with applicable laws, regulations, and third-party terms (including app store terms). You are responsible for maintaining the security of your device and any login credentials, and for all activity under your account (if any).
3. Acceptable Use and Restrictions
Unless expressly permitted by us in writing or allowed by law, you must not:
a) copy the Services except for normal use or backups;
b) modify, translate, merge, or create derivative works of the Services;
c) reverse engineer, decompile, or disassemble any part of the Services (except to the extent permitted by applicable law);
d) distribute, sublicense, assign, sell, rent, lease, or otherwise transfer the Services or any rights to them;
e) remove, alter, or obscure any proprietary notices or branding;
f) frame, mirror, or incorporate the Services into another website or service;
g) harvest, scrape, or create databases from the Services or their data;
h) interfere with or damage the Services or their operation;
i) use the Services for unlawful, harmful, infringing, or fraudulent purposes;
j) use the Services in any manner not expressly authorized by these Terms.
You agree to compensate us for losses (including reasonable legal fees) arising from your breach of this Section.
4. Intellectual Property
We and our licensors own all rights, title, and interest in and to the Services and their content, which are protected by copyright, trademark, and other laws. No rights are granted to you except as expressly set out in these Terms. Any unauthorized use, reproduction, distribution, public display, or creation of derivative works is prohibited.
5. Third-Party Services and Links
The Services may display or link to third-party content, websites, products, or services that we do not control. We are not responsible for such third parties and do not endorse them. Your use of third-party offerings is at your own risk and may be subject to their terms and privacy policies. Ensure you review and accept those terms before using any third-party service.
6. Subscriptions, Trials, Payments, and Cancellations (if applicable)
Some features may be available via paid subscriptions (e.g., monthly or annual plans). Pricing and plan details are shown in-app or at purchase.
Free Trials: If a free trial is offered for an annual plan, you will be charged automatically at the end of the trial unless you cancel before the trial ends.
Auto-Renewal: Subscriptions renew automatically unless canceled at least 24 hours before the current period ends.
Manage & Cancel: Manage or cancel through your app store account settings (e.g., Google Play).
Refunds: If you cancel during a paid period, service continues until the period ends; fees for the current period are typically non-refundable subject to the app store’s policies.
Platform Limitation: Purchases generally do not transfer across platforms (e.g., Android to iOS).
You authorize the applicable app store to charge you for the subscription and any applicable taxes.
7. Term and Termination
These Terms apply while you use the Services. We may suspend or terminate your access to the Services at any time, with or without notice, if we believe you have breached these Terms or for any other reason. You may stop using the Services at any time and, for apps, uninstall them. Sections 4 (Intellectual Property), 5 (Third-Party Services and Links), 7 (Term and Termination), 8 (Disclaimers), 9 (Limitation of Liability), 10 (Indemnification), 11 (Governing Law and Jurisdiction), and 12 (General) survive termination.
8. Disclaimers
THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. We do not warrant that the Services will meet your requirements, be uninterrupted, timely, secure, or error-free; that results will be accurate or reliable; or that defects will be corrected. You use the Services at your own risk.
9. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, OUR TOTAL LIABILITY FOR DIRECT DAMAGES ARISING OUT OF OR RELATING TO THE SERVICES OR THESE TERMS IN ANY CALENDAR YEAR SHALL NOT EXCEED THE GREATER OF: (A) THE AMOUNTS YOU PAID TO US FOR THE SERVICES IN THAT YEAR (IF ANY), OR (B) US$100. WE SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES (INCLUDING LOSS OF PROFITS, BUSINESS, DATA, OR GOODWILL), EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. THE SERVICES ARE FOR PERSONAL, NON-COMMERCIAL USE. IF YOU USE THEM FOR BUSINESS PURPOSES, WE HAVE NO LIABILITY FOR ANY BUSINESS-RELATED LOSSES.
10. Indemnification
You agree to defend, indemnify, and hold harmless LOGICLABS COMPANY LIMITED, its affiliates, and their officers, directors, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to: (a) your use or misuse of the Services; (b) your violation of these Terms; or (c) your violation of any law or third-party rights.
11. Privacy
Your use of the Services is also subject to our Privacy Policy, which explains how we collect, use, disclose, and safeguard information. The Privacy Policy is not part of these Terms, but we encourage you to read it carefully.
12. Governing Law and Jurisdiction
These Terms are governed by and construed in accordance with the laws of the Hong Kong Special Administrative Region (HKSAR), without regard to conflict-of-laws principles. You agree to the exclusive jurisdiction and venue of the courts of Hong Kong to resolve any dispute arising from or relating to these Terms or the Services.
13. General
If any provision of these Terms is held invalid or unenforceable, that provision will be enforced to the maximum extent permissible and the remaining provisions will remain in full force and effect. Failure to enforce any right shall not constitute a waiver. You may not assign or transfer these Terms without our prior written consent; we may assign these Terms without restriction.
